Please read these terms carefully. The terms apply to individuals and legal entities with an ADDI Marketplace business current account.

Introduction: The ADDI Marketplace store is a unique platform connecting over one million African diaspora members, fostering a connection with Africa. Vendors are encouraged to adhere to the registration requirements and guidelines. ADDI Marketplace, LLC  offers access to its marketplace platform containing third-party products and services ("Products"). These terms outline the basis for access to and use of the marketplace.

1. Vendor Eligibility:a. Vendors must meet ADDI Marketplace criteria, including product quality and legal compliance. b. Accurate business information, contact details, product descriptions, and pricing are required.
2. Product Listings:a. Vendors are responsible for accurate and compelling listings, adhering to laws and safety standards. b. Products' availability must be accurately reflected; inventory updates are mandatory.
3. Order Fulfillment:a. Timely order fulfillment within agreed timelines is required. b. Secure packaging to prevent damage during transit and valid tracking information are essential.
4. Customer Communication:a. Clear and responsive communication with customers is mandatory. b. Polite, professional, and helpful responses to customer inquiries are expected.
5. Pricing and Payment:a. Fair and competitive pricing within ADDI Marketplace guidelines is crucial. b. transparent communication of additional fees, and timely receipt of payments after deducting platform fees.
6. Product Quality and Returns:a. Products must meet promised quality standards. b. Clear communication of return and refund policies following ADDI Marketplace guidelines.
7. Compliance with Laws and Regulations:a. Adherence to local, national, and international laws and regulations is mandatory. b. The procurement of necessary licenses, permits, or certifications is the vendor's responsibility.
8. Prohibited Activities:a. Vendors must avoid fraudulent, illegal, or unethical activities. b. Price gouging, false advertising, and deceptive practices are strictly prohibited.
9. Intellectual Property:a. Respect for intellectual property rights is mandatory. b. Listing or selling counterfeit, unauthorized, or infringing products is strictly prohibited.
10. Account Suspension and Termination:a. ADDI Marketplace reserves the right to suspend or terminate non-compliant vendor accounts. b. Vendors have the right to appeal any suspension or termination decision.

Terms and Conditions

Registration: Vendors must be legally registered in their country of operations. Account creation is mandatory for all business transactions.

Seller Requirements:

• All sellers must subscribe to one of the packages provided.
• Products must have a minimum three-month warranty.
• Vendors must register through the platform and adhere to guidelines.

Vendor Payment Policy:

• Vendors will be paid within two weeks to one month from the invoice submission date.
• Invoices should be accurate and include necessary details.
• Payment methods and communication guidelines are outlined.

 

 Vendor Dashboard Management:

• All vendors' information will be verified and approved before being enlisted on the dashboard.
• Vendors are required to fill in all spaces, providing information regarding their business, using the online form.
• Vendors must monitor the status of their request and upload/manage their dashboard.
• Banking details for purchases must be uploaded.
• Timely shipment of all products is mandatory, following respective jurisdiction compliance.

Site Policies, Modification, and Severability:

• Review all site policies. We reserve the right to make changes.
• If any condition is deemed invalid, void, or unenforceable, it shall not affect the validity of the remaining conditions.

Responsibility for the Products:

• Providers are independent of the ADDI Marketplace.
• Providers are solely responsible for their products.
• The user's use of products is at their own risk.

Things You Must Not Do:

• Commercial use for purposes unrelated to the ongoing management and operation of the company is prohibited.
• Actions affecting the integrity or security of the marketplace are not allowed.
• Prohibition on unauthorized copying, modification, distribution, or exploitation of the Marketplace or content.

No Warranties:

• The marketplace, products, or content may contain errors or omissions.
• ADDI Marketplace provides no warranties, and use is at the user's risk.

Liability:

• ADDI Marketplace accepts liability for non-compliance with obligations.
• Exclusion of liability for business losses, access issues, device malfunctions, loss or damage, and other specified matters.

Intellectual Property:

• Users are granted a non-exclusive license to access the Marketplace.
• The marketplace, products, and content are protected by intellectual property rights owned by ADDI Marketplace.

Access:

• ADDI Marketplace may amend the Marketplace and suspend, withdraw, or change it without notice.
• Users can decide to stop using the Marketplace at any time.

General:

• Users may assign rights or delegate obligations with written consent.
• There is no waiver of obligations; each term operates separately.
• The governing law is Maryland, USA, with the exclusive jurisdiction of Maryland courts.
